***Regulatory experience essential for this role*** Location: London Contract Type: 24 month FTC Work Pattern: Part Time (3 days per week) and Remote/Hybrid This Company Secretary role sits within MS Amlin Investment Management Limited (MS AIML), a FCA regulated investment management company, servicing clients in the wider MS&AD Group. The role is also to act as Company Secretary for MS AIML’s parent company MS Amlin Investment Holdings Limited (MS AIHL). MS AIML and MS AIHL are both within the MS&AD Group. This role reports to the MS AIML Chief Compliance Officer, who oversees the Legal, Compliance, Risk & Company Secretarial functions. The role entails ownership for all company secretarial matters and responsibilities with respect to MS AIML and MS AIHL as well as supporting all committees of these two companies and providing guidance to the business on governance best practise. The role is a part time role, envisaged to require 3 days per week (but may be subject to change if the needs of the business change). This is a highly visible role that will involve collaborating with colleagues across the organisation and our senior leadership team & Boards. What You’ll Spend Your Time Doing End-to-end management of MS AIML and MS AIHL board and committee meetings – including ownership of agendas, meeting attendance, calendar management, meeting logistics for all aspects of the boards and committees. Drafting of detailed and comprehensive board and committee minutes and board resolutions and robust tracking of actions and approvals/decisions made. Provide proactive and strategic advice on corporate governance and company secretarial matters, assisting with the creation, adoption, amendment and implementation of best practice policies/procedures/standards and maintenance of Matters Reserved and Terms of Reference Ensuring the effective operation of the boards and committees and overseeing annual board and committee evaluations and effectiveness reviews. Ensuring compliance with all statutory filing requirements at Companies House and maintenance of LEIs. Completion of regular reporting to Head Office on board composition, corporate changes as well as ensuring boards and committees operate in accordance with Head Office requirements. Monitoring of and advising the boards of regulatory and legislative changes in the governance space and working with Risk and Compliance to ensure compliance.
