Purpose of Role Support the Company Secretary and General Counsel, Corporate with all aspects of company secretarial work. Ensure compliance with UK public listing requirements, manage global entities, and collaborate with Compliance and Finance teams to uphold strong governance standards. Main Accountabilities Compliance & Governance Ensure compliance with UK Listing Rules, DTRs, Corporate Governance Code & MAR. Maintain Confidentiality Lists, Insider List & share dealing approvals. Annual Report & Shareholder Meetings Assist in producing and distributing the Annual Report. Coordinate AGM/EGMs with registrars and stakeholders. Subsidiary Administration Support governance of global subsidiaries (filings, registers, resolutions). Manage relationships with external corporate secretarial vendors. Board & Shareholder Support Prepare Board/Committee calendars & upload papers. Liaise with registrars on dividends & shareholder queries. Corporate Actions Assist with acquisitions, disposals & restructuring projects. 👤 Person Specification Calm under pressure, strategic thinker, proactive executor. Professional, discreet, and relationship focused. Company Secretarial qualification desirable (not essential). Experience in UK listed companies advantageous.
